LapisTrack Terms of Service for Business Customers

These terms govern a broker’s or shipper’s use of Lead Hunter Consulting LLC’s (which operates LapisTrack) business service. The plan chosen at sign-up or in a written order controls if it conflicts with these terms.

Consent and customer responsibilities

Before you create a load or ask LapisTrack to text or track a driver, you must have the carrier’s and driver’s valid permission required by law and these terms. You must provide accurate load, driver, pickup, delivery, and contact information. You must promptly cancel a load that should no longer be tracked. LapisTrack never sends the first text to a driver; the driver must opt in directly for the specific load through the LapisTrack consent screen or by texting TRACK <load code> to the LapisTrack toll-free number.

Under the federal TCPA, texts sent without consent by an autodialer can carry $500 per text in private lawsuits, $1,500 if willful; whether one-to-one operational texts are covered is disputed, and some states go further. Separately, Twilio and the phone carriers require each recipient’s own prior consent.

Permitted use

Use LapisTrack only for lawful freight operations and only for loads you are authorized to manage. Do not use it to stalk, harass, discriminate, monitor people outside an active load, send unlawful messages, upload unlawful content, interfere with the service, bypass access controls, or provide access to unauthorized people. You are responsible for the actions of your users and viewers.

Service limits

Location depends on the driver’s device, permissions, mobile coverage, browser state, GPS, and other factors. LapisTrack does not guarantee the accuracy, completeness, availability, or timing of any location, status, proof-of-delivery photo, detention record, or other data. Estimated times of arrival are estimates, not promises. Detention information is evidence for the parties to assess; it is not a bill, legal determination, or guarantee of payment.

Fees

You will pay the fees and taxes stated in the plan chosen at sign-up or in a written order. Unless that plan or written order says otherwise, fees are due as stated there. The monthly fee is fixed. A load is charged only if it received at least one location fix; a load with no location fix is not charged. We may suspend access for overdue undisputed amounts after notice as allowed by the plan, written order, or law.

Data processing and privacy

You control your load data. LapisTrack processes that data only to provide, secure, and improve the service, meet legal obligations, and enforce these terms. You must give required notices to drivers and others whose information you provide. LapisTrack’s Privacy Policy applies to our handling of personal information.

Indemnity

You will defend, indemnify, and hold harmless LapisTrack and its officers, directors, employees, and agents from claims, damages, liabilities, costs, and reasonable attorneys’ fees arising from your sharing of driver contact details, your request to text or track a driver without valid permission, or your breach of these terms.

Disclaimer

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, LAPISTRACK DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Liability limit

TO THE FULLEST EXTENT PERMITTED BY LAW, LAPISTRACK’S TOTAL LIABILITY ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE FEES YOU PAID TO LAPISTRACK FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. LAPISTRACK WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS.

Termination

Either party may terminate a plan, written order, or account as stated in the applicable plan or written order. LapisTrack may suspend or terminate access for a material breach, unlawful use, security risk, or nonpayment. On termination, access ends and LapisTrack will handle retained data as described in its Privacy Policy and applicable law.

Governing law and venue

These terms are governed by the laws of Florida, without regard to conflict-of-law rules. The parties agree that the state and federal courts located in Florida have exclusive venue for disputes arising from these terms, except where applicable law requires otherwise.
